TERMS and CONDITIONS
Quotations will be honored only when quoted by Lily Jack on an official quotation form. No agent or representative is authorized to change prices, terms or conditions of sale without the consent of Lily Jack. Quotations are based upon Lily Jack’s interpretation of the concept photos, sketches or drawings that the customer submits. Quotations are valid for a period not to exceed 60 days, unless extended in writing. When submitting purchase orders to Lily Jack, please provide a copy of the quote number or a copy of the actual quotation.

Our standard terms are 50% deposit with the balance due prior to shipping, unless otherwise noted on the quote. If you wish to have open account terms, we request you enclose one bank reference and three trade references with your initial order. You may also submit this information in advance of an order to eliminate any potential delays. If credit terms are extended, prompt payment will be expected. A 1.5% per month interest charge will be assessed on all past due accounts. We reserve the right to cancel or change credit terms at our discretion and to request total payment at any time. Accounts seriously in arrears will be subject to repossession of the supplied furniture. If legal action is required to collect past due accounts, clients will be responsible for all attorneys’ fees and court costs.
At this point in time, Lily Jack cannot accept payments via credit card.
All taxes, fees or duties which Lily Jack may be required to pay or collect as result of the sale, purchase, use, delivery, etc. shall be charged to the purchaser who will promptly reimburse Lily Jack, unless otherwise noted on the quote.
Sales tax will be collected by Lily Jack for all projects with a final destination of California or New Jersey.
Orders are subject to acceptance by Lily Jack under the terms and conditions as presented herein and the published price list and acknowledgements. These terms and conditions will prevail when in conflict with the terms and conditions of the purchaser’s purchase order contract.
All accepted orders will be acknowledged within 3 business days.
Purchaser is responsible for comparing this acknowledgement to their purchase order to see that all information regarding style, quantity, fabrics, finishes, prices, shipping information, etc. is correct. Orders will be produced as acknowledged unless the factory is notified immediately.
A minimum of 25% will be applied to all purchase orders cancelled after (2) weeks from receipt of the purchase order.
Production lead-times are based on Lily Jack’s current production schedule at the time the quote is issued. At the time the purchase order is received, Lily Jack may adjust our lead-times in accordance with our current production capacity. We will make every effort to meet requested shipping and delivery dates. To accomplish this, we must receive specification sheets, color concept photos, approved shop drawings (or approved prototypes) and approved finishes in a timely manner. All COM/COL’s are to be received within the quoted lead times. Orders are subject to delay of delivery due to strikes or other labor difficulties, failure or delay of sources of supply, transportation difficulties, riot, fire, accident, and compliance with government regulations, Acts of God, or other causes beyond our control.
For domestic (U.S.) manufactured product, our typical lead-time is 10-12 weeks from receipt of purchase order, deposit, approved CAD drawings and finish control sample. Upon receipt of all COM’s, Lily Jack can begin shipping in 6 weeks.
For products manufactured in Lily Jack’s overseas factories, our typical lead-time is 11-13 weeks from receipt of purchase order, deposit, approved CAD drawings / approved prototype and finish control sample. Upon the overseas factories receipt of COM or COL, they can begin shipping in 2-3 weeks. Estimated ocean transportation time from our overseas factories to our U.S. factory in Gardena, California is 2-3 weeks plus 2-3 days for customs clearance and delivery to our U.S. factory. Lily Jack can ship direct to the destination instead of delivering to our U.S. factory. Please inquire for pricing.
PROTOTYPES / SAMPLES
Custom samples will be billed at three times quantity production prices, unless otherwise noted on the quote. They must be paid for and cannot be returned for credit. All Lily Jack custom sample designs are copyrighted by Lily Jack, all rights reserved.
Typically, Lily Jack can produce prototypes/samples within 4-6 weeks from receipt of the purchase order, deposit, approved CAD drawings and finish control sample. If this lead-time needs to be shortened, please inquire.
The FOB point for all domestic (U.S.) manufactured product is Gardena, California (90248).
For all products manufacturing in Lily Jack’s overseas factories, the FOB point is the Port of Yantian (China) or the Port of Ho Chi Minh City (Vietnam), unless otherwise noted on the quote.
COMPUTER AIDED DESIGN (CAD) DRAWINGS
Upon receipt of purchase order, deposit, color concept photos and specifications, Lily Jack will submit CAD drawings for approval within 5-7 business days. Lily Jack will not submit CAD drawings for standard, in-line items, unless specifically requested by the purchaser.
Lily Jack employs a full-time CAD/Engineering team dedicated to product development. The charge for use of this service prior to receipt of a purchase order is $150 per CAD drawing. The charge will be credited upon receipt of an order or specification using the CAD design. The initial charge will cover two revisions and $50 will be charged for each additional revisions.
Quoted dimensions are overall measurements, reasonably approximate, and may slightly vary. We reserve the right to consider what is within tolerance (Industry Standard is 1”). Inquire for exact or custom sizes if dimensions are critical. Upholstery is a hand-made trade, using padding materials and COM’S that will differ from item to item.
FINISHES (METAL AND WOOD)
All items are quoted in a level “A” standard finish, unless otherwise noted on the quote. For standard and premium Lily Jack wood finishes, please select from the wood finishes section in the catalog or on our website. For custom finishes, additional charges may apply, so please inquire
Characteristic differences in color and grain are produced by nature in every tree. These variations create the beauty and interest found in fine woods. The samples are an indication of the color and character of the finish only. All finishes are hand applied and will vary depending on surface, shape and material used.
For custom finish strike-offs, please provide a control sample. Lily Jack can submit a finish strike-off within 7-10 business days from receipt of the purchase order, deposit and finish control sample.
All internal materials meet CAL-117 and NFPA-260A.
UPGRADED FIRE CODE REQUIREMENTS
For TB-133 and the Boston Code, please add 50% to your price quoted. Lily Jack has tested products and is qualified to certify as required by TB-133 and the Boston code. Certification cannot be made unless the fabric has been treated for fire resistance and we receive a certificate from the COM supplier or treatment center.
If specific TB-133 product testing is requested for an entire piece of upholstered furniture to obtain certification, the cost of the entire piece of upholstered furniture plus the cost of testing must be accompanied by a purchase order. Additional COM/COL also needs to be provided.
CHAISE DESIGNATED SITTING DIRECTION
To guarantee a chaise’s correct direction (right vs. left), include on specifications and purchase orders a sketch or picture depicting the sitting direction.
CUSTOMER’S OWN MATERIAL (COM) / CUSTOMER’S OWN LEATHER (COL)
The designer, specifier and/or purchaser shall be deemed an expert in the selection of COM (Customer’s Own Material – Fabric) or COL (Customer’s Own Leather) and assumes all risk and responsibility for selecting fabrics that are appropriate for the intended use and that comply with all applicable codes and regulations in the jurisdiction of ultimate use. Lily Jack cannot predict, nor be responsible for, how COM or COL wears in an installation setting. Therefore, Lily Jack specifically disclaims any responsibility for any defects that may arise in the use of COM or COL’S. These include, but are not limited to: wear-ability, fitness for use, colorfastness, fading, shrinking, stretching, pilling, unraveling, seam slippage, clean ability, flammability, discoloration or any other problem previously known or heretofore unknown that may arise from the use of such materials. Purchaser agrees to defend and hold harmless Lily Jack for any claim (including expenses and reasonable attorney’s fees) made against Lily Jack relating to any alleged defect in COM/COL materials. CAUTION: Using non-recommended cleaners or water on fabrics and leather may damage the material. Consult the COM/COL manufacturer for the proper cleaning procedures.
Materials must be clearly marked with purchaser’s name, project name, order acknowledgement number, item to be upholstered and the material name, color and yardage.

Yardage requirements are quoted on 54″ wide, plain goods, unless COM specification provided with the RFQ notes a specific size and repeat of goods. Self-decking is standard if adequate yardage is supplied. Quoted yardage is approximate. To obtain exact yardage, send fabric sample to the factory before ordering. Pattern matching may be subject to additional charges. For pattern match or repeats, a minimum of 10% should be added to the list price, unless otherwise noted on the quote. Please provide details of pattern match or repeat to Lily Jack for an accurate quote.
APPLICATION OF FABRICS
Lily Jack reserves the right to apply the fabric in the most appropriate direction unless noted by the customer.
To assure correct fabric application, please attach a swatch of the fabric to your purchase order and indicate pattern direction, etc. Since more and more fabrics are “reversible” it is extremely important to send us a swatch of COM with your purchase order with the exposed side marked as such.
While we inspect fabrics for mill imperfections, some are difficult to recognize. We cannot be responsible for fabric defects, color inaccuracies, or other flaws that we may not detect. Detected defects may require additional COM yardage.
If it is determined that the fabric requires acrylic, latex or knit backing, it can be returned or the customer will be responsible for all costs associated with backing the fabric. This also delays the scheduled ship date.
Lily Jack assumes no responsibility for the flame retardancy of any COM. Customers are solely responsible for making sure that COM complies with all applicable codes and regulations.
LEATHER SUPPLIED BY CUSTOMER (COL)
For leather, please add 10% to the list price, unless otherwise noted on the quote. To determine square footage requirements, multiply the quoted yardage in the price list by 18. All square footage requirements are based on usable footage. The shape of the hide, excessive holes, cuts, scars or other unusable imperfections may make it necessary for us to request more leather after COL is received. COL hides must be rolled for shipment to Lily Jack in a neat manner, avoiding creases and excess roll marks. Leather that is received folded maybe subject to rejection.
Fitted arm covers will require an additional $35 – $60 pair, unless otherwise noted on the quote. Allow one additional yard of COM. Please inquire on pricing when arms are oversized.
Excess COM or COL will not be returned unless request on the purchase order. Lily Jack will store excess COM or COL for 3 months. After 3 months, the COM or COL will be disposed of at Lily Jack’s discretion.
PACKAGING, FREIGHT AND INSTALLATION
All Lily Jack products are securely packaged in durable plastic bags and other protective materials for blanket wrapped shipments. Prices do not include cartoning, crating, freight, delivery, installation or taxes, unless otherwise noted on the quote.
Typically, for all products manufactured in Lily Jack’s overseas factories, the pricing includes cartoning.
Please inquire for crating, freight, delivery and installation, as Lily Jack can provide these services.
All freight, delivery and installation charges are estimates at the time a quote is issues and will have to be reconfirmed at the time the purchase order is received and an estimated ship date is established.
A warehouse fee of $.75 per square foot per month will be charged for completed orders when the shipment is delayed at the purchaser’s request. If the customer cannot accept delivery when merchandise is ready for shipment, we reserve the right to transfer goods to storage. Cost of transfer and storage will be charged to the purchaser and we will deem such transfer as constituting shipment, including invoicing as of date transfer is made.
All sales are made FOB factory and title to the product passes to the purchaser upon delivery of the products to the carrier. All Lily Jack products are carefully inspected and securely packaged prior to the shipment and Lily Jack will not accept any claims for freight, warehousing or installation damage. Customers should carefully inspect all merchandise upon arrival and make claims for damage to the carrier immediately.
All freight damage and shortage must be noted on the Carrier’s bill of lading or proof of delivery at the time of delivery. Freight claims should be filed within 3 months for visible damage and within 15 days for concealed damaged.
If damages occur, it is crucial to keep all packing, carton and crating materials and digital photographs should be taken immediately. Failure to follow the above requirements shall constitute acceptance of the merchandise and waiver any defects, errors or shortages.
RETURNS FOR REPAIR & FIELD REPAIRS
No returns for repair will be accepted without our written authorization and shipping instructions. Unauthorized returns will not be accepted. The costs of field repairs or adjustments performed by non- Lily Jack personnel will not be reimbursed unless previously authorized by Lily Jack in writing. Lily Jack can not guarantee any work performed by outside companies or persons.
All Lily Jack standard products are copyrighted by Lily Jack. Orders for custom products are manufactured to the specifications of the designer, purchaser or their agents and representatives who shall be deemed experts in the field of furniture design. Lily Jack specifically disclaims any responsibility or obligation to indemnify or defend designer, purchaser, customer, specifiers, architect, owner or any others for claims alleging infringement or trademarks, copyrights, patents, designs or any other issues collectively described as intellectual property. Customer confirms that it is the originator of specifications for said product(s) and has clear title to said intellectual property and will defend and hold harmless Lily Jack for any claims (including expenses and reasonable attorney’s fees) to the contrary.
All Lily Jack products are sold with a limited warranty against defects in materials and workmanship for a period of one year from the date of shipment in normal contract use. This warranty does not extend to any COM, COL and other customer supplied decorative applications. This warranty also does not apply to any damage caused by shipping, misuse, abuse or ordinary wear and tear. No warranty whatsoever is made for any loss of use, loss of revenue or for any customer supplied materials. NO OTHER WARRANTY IS EXPRESSED OR IMPLIED.
MAINTENANCE AND CARE
Particular attention and care should be given while installing or relocating furniture. Dropping dragging or stacking may loosen joints, break legs, scratch and chip wood surfaces or damage the upholstery.
Protect upholstered pieces from the sun, as ultraviolet rays will cause fading and deterioration and hairline cracking in wood finishes. Also extreme room heat and/or humidity may cause damage.
Before attempting to clean a spill, spot or soiled areas, obtain the correct cleaning method recommended by the COM/COL manufacturer and test it in an area that is not visible.
Housekeepers should be cautioned to avoid banging legs and flounces with vacuum cleaners, and using bleaching detergents, etc., for cleaning upholstery.
Vacuum often (once a week) to remove dust and grit. Never brush any fabric with a stiff fiber or metal brush, as both are destructive to the fibers.
Rotate cushions and fluff back pillows frequently.
At least once each month, wood finishes should be cleaned with a soft cloth slightly dampened with a water-soluble wood finish cleaner to remove built-up grease and grime. Immediately wipe off any moisture accumulated on the surface or within joints.
Do not excessively rub during any process.
If polishing the exposed wood elements is desired, select one designed for furniture and the appropriate finish. Always test before overall application.
